Terms for our website, the Upfront subscription, and our text messaging program.
These Terms of Service ("Terms") govern your use of the Serendipity Technology website, the Upfront subscription service, and our SMS/text messaging program. Serendipity Technology is operated by Serendipity Holdings, LLC (d/b/a Serendipity Technology) in Volusia County, Florida. By using our site, creating an Upfront account, or opting in to our text messages, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have authority to do so. Please also read our Privacy Policy. For custom project and consulting work, see our Engagement Terms, which apply in addition to these Terms for that work.
You may use this website for lawful purposes only. You agree not to misuse the site, interfere with its operation, or attempt to access it in an unauthorized way.
Upfront is a hosted application for quoting, customer approvals, invoicing, and online payments. Each customer gets a separate workspace. We may improve, change, or retire features over time. If we make a change that materially reduces what you are paying for, we will give you notice by email.
You are responsible for your account credentials, for the people you invite into your workspace, and for the accuracy and legality of the information you enter, including your quotes, prices, taxes, and your dealings with your own customers. Upfront is a tool. It does not give legal, tax, or accounting advice, and you remain responsible for your own tax and sales-tax compliance.
You own your data. Everything you put into Upfront, including your customer list, quotes, invoices, payment records, files, and branding, belongs to you. You give us a limited license to host, process, back up, and display it only as needed to provide the service to you. We do not sell your data or use it for advertising. You can export it at any time, and you can ask us to delete it. How we handle personal information is described in our Privacy Policy.
We keep backups and work to keep the service available, but you should keep your own copies of records you are legally required to retain. You are responsible for exporting anything you need before a deletion date.
We own the Upfront software, design, and our brand. These Terms give you the right to use the service, not to copy or resell it. You may give us feedback and we may use it freely.
You agree not to use Upfront or our website to:
By providing your mobile number and selecting text as a preferred contact method, or by texting one of our keywords, you agree to receive SMS messages from Serendipity Technology related to your inquiry and your account (for example, replies to your message, appointment reminders, and project or account updates).
The content on this site is owned by or licensed to Serendipity Technology and may not be copied or reused without permission, except as allowed by law.
The website and Upfront are provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We work hard to keep Upfront reliable, but we do not promise it will be uninterrupted or error-free.
To the fullest extent permitted by law, Serendipity Technology is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the site, Upfront, or the messaging program. Our total liability for any claim relating to Upfront is limited to the amount you paid us for Upfront in the 12 months before the event that gave rise to the claim. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you.
You agree to indemnify us against third-party claims arising from content you put into Upfront, your dealings with your own customers, or your breach of these Terms, to the extent permitted by law.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Volusia County, Florida, and you consent to that venue. Before filing a claim, please email us so we can try to resolve it informally.
We may update these Terms from time to time. The effective date above reflects the latest version. For material changes that affect Upfront customers, we will email account owners at least 30 days before they take effect. Continuing to use the service after that means you accept the updated Terms.
